1. AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Carrier,” “Customer,” or “Client”) and LogistiCore LLC / Logisticore.co (“Company,” “we,” “us,” or “our”) governing your use of our website, dispatch services, logistics coordination, consulting services, and communication systems.

By accessing our website or engaging our services, you agree to be bound by these Terms.

2. SERVICES DESCRIPTION

The Company provides logistics-related services including but not limited to:

• Freight dispatching services
• Route planning and load coordination
• Logistics consulting
• Carrier communication and broker coordination
• Operational support services for trucking businesses

We do not operate as a motor carrier unless explicitly stated in a separate written agreement.

3. NO GUARANTEE OF LOADS OR REVENUE

We do not guarantee:

• Availability of freight loads
• Specific rates or income levels
• Continuous work or dispatch volume
• Broker acceptance of carrier submissions

All freight opportunities are subject to market conditions and third-party broker approval.

4. CARRIER RESPONSIBILITIES

If you are a carrier or driver working with us, you agree that:

• You maintain valid CDL, insurance, and operating authority
• Your equipment meets FMCSA safety standards
• You are responsible for compliance with all federal and state transportation laws
• You will provide accurate availability and equipment information
• You will communicate delays or issues promptly

5. PAYMENT TERMS

Unless otherwise agreed in writing:

• Dispatch or service fees are due according to agreed schedules
• Late payments may result in suspension of services
• We reserve the right to deduct fees from settlements if applicable

All payments are non-refundable unless explicitly stated.

6. SMS AND ELECTRONIC COMMUNICATIONS

By engaging with our services, you consent to receive:

• SMS messages
• Emails
• Phone calls

related to operational and service communications.

You agree that:

• Communications are for business purposes only
• You may opt out of SMS by replying “STOP”
• Standard carrier charges may apply

We comply with TCPA and related communication laws.

7. SMS TERMS OF SERVICE

By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from Logisticore LLC. 8. PROHIBITED ACTIVITIES

Users agree not to:

• Misrepresent identity or authority
• Use services for unlawful purposes
• Interfere with system operations
• Harass staff, brokers, or carriers
• Attempt unauthorized access to systems or data

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for broker actions or delays
• We are not liable for lost profits, missed loads, or business interruption
• Total liability shall not exceed fees paid to us in the preceding 30 days

10. INDEMNIFICATION

You agree to indemnify and hold harmless the Company, its owners, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

• Your use of services
• Your violation of these Terms
• Your violation of any law or third-party rights

11. THIRD-PARTY RELATIONSHIPS

We are not responsible for actions, performance, or conduct of:

• Freight brokers
• Shippers
• Independent carriers
• Third-party software providers

All third-party relationships are independent.

12. FORCE MAJEURE

We shall not be liable for delays or failures caused by events beyond our control, including:

• Weather conditions
• Accidents or road closures
• Government actions
• Carrier outages
• System failures
• Acts of God

13. TERMINATION

We reserve the right to:

• Suspend or terminate services at any time
• Refuse service to any user
• Terminate access for violation of these Terms

14. INTELLECTUAL PROPERTY

All website content, branding, text, and materials are owned by the Company and may not be copied, reproduced, or distributed without written permission.

15. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the United States and the State in which the Company is registered, without regard to conflict of law principles.

16. DISPUTE RESOLUTION

Any disputes shall first be attempted to be resolved through informal negotiation.

If unresolved:

• Disputes shall be submitted to binding arbitration or court proceedings depending on jurisdiction
• Each party shall bear its own legal costs unless otherwise decided

17. MODIFICATIONS

We reserve the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of changes.
